Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, pages, tools, educational materials, state compliance guides, client-access features, and other online services made available by IT HUB Service Inc., doing business as 501c3.help (“501c3.help,” “Company,” “we,” “us,” or “our”), including the website located at 501c3.help and any related pages or services that link to these Terms (collectively, the “Site”).
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. Who May Use the Site
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Site or purchase services from us.
If you use the Site on behalf of a corporation, nonprofit organization, association, or other entity, you represent that you have authority to bind that entity to these Terms. In that case, “you” includes both you and the entity.
2. What 501c3.help Provides
501c3.help provides educational information, nonprofit formation and operations consulting, mission and program architecture, document-preparation support, technical implementation, websites and digital infrastructure, nonprofit-benefit activation, Google for Nonprofits and Google Ad Grants assistance, campaign management, content support, and related administrative services.
The Site may include:
- educational articles and courses;
- nonprofit compliance guides organized by state;
- filing, deadline, fee, and threshold information derived from official sources;
- readiness assessments, calculators, and other interactive tools;
- descriptions of nonprofit programs, software discounts, and third-party benefits;
- client-access features;
- consultation scheduling or messaging links;
- service descriptions, checkout pages, invoices, and payment links.
The exact services purchased by a client are defined by the applicable order form, proposal, invoice, checkout terms, public offer agreement, statement of work, or other written service agreement (“Service Agreement”).
3. Relationship to Service Agreements
These Terms govern general use of the Site.
Paid services may be governed by a separate Service Agreement, including the 501c3.help Public Offer Agreement. If these Terms conflict with a Service Agreement regarding a paid service, the Service Agreement controls for that service.
Nothing on a marketing page, educational page, state guide, course page, or consultation page modifies the scope, price, refund terms, completion criteria, or other terms of a Service Agreement unless the change is confirmed in writing by 501c3.help.
4. Not a Law Firm, CPA Firm, or Government Agency
IT HUB Service Inc. and 501c3.help are consulting and document-preparation providers. We are not a law firm, accounting firm, tax advisory firm, government agency, or government filing office.
The Site and our general communications do not provide legal, tax, accounting, investment, or financial advice. No attorney-client, accountant-client, fiduciary, or other professional relationship is created by your use of the Site.
Documents, forms, policies, narratives, filing materials, and compliance information may be prepared for review by licensed attorneys, CPAs, or other qualified professionals where appropriate. You remain responsible for deciding whether independent professional review is necessary for your circumstances.
5. No Government or Third-Party Affiliation
501c3.help is an independent private service. We are not affiliated with, endorsed by, or sponsored by:
- the Internal Revenue Service;
- any Secretary of State, Attorney General, tax department, charity regulator, or other government agency;
- Google, Google for Nonprofits, Google Ad Grants, TechSoup, Microsoft, Salesforce, Canva, Stripe, PayPal, Meta, Amazon Web Services, or any other third-party platform.
Names, trademarks, and program descriptions belonging to third parties are used only to identify the relevant programs or services.
6. No Guarantee of Approval, Eligibility, Funding, or Results
Government agencies and third-party platforms make their own decisions.
We do not guarantee:
- state incorporation or registration;
- federal or state tax-exempt recognition;
- approval of Form 1023, Form 1023-EZ, or any other filing;
- classification as a public charity;
- approval by Google for Nonprofits, Google Ad Grants, TechSoup, Microsoft, Salesforce, Canva, Stripe, PayPal, or another provider;
- receipt of grants, donations, credits, discounts, advertising value, or other benefits;
- any particular advertising spend, traffic, conversion rate, fundraising amount, revenue, savings, ranking, or operational result;
- that a government or third-party program will remain available or retain the same rules or value.
Any stated benefit value is an estimate or nominal program value, not cash and not a promise of actual value received. Results depend on eligibility, approval, active use, continued compliance, market conditions, third-party decisions, and the client’s cooperation.
7. Educational and Compliance Information
The Site contains a large educational database, including state-specific nonprofit compliance information.
We use structured research and official government sources, and some research or drafting may be assisted by artificial-intelligence tools. We apply review and validation procedures, but laws, regulations, forms, fees, agency guidance, portals, and interpretations can change at any time.
Some entries may be labeled:
- SOURCE VERIFIED; or
- VERIFICATION IN PROGRESS.
These labels describe our research status. They are not legal opinions or guarantees.
Before taking action, you should:
- review the cited official source;
- confirm the current filing form, fee, deadline, portal, and agency instructions;
- consider obtaining advice from a licensed attorney, CPA, or other qualified professional.
You are responsible for compliance decisions made using information from the Site.
8. Client Responsibilities
When you request or purchase services, you agree to:
- provide complete, current, and accurate information;
- disclose relevant ownership, governance, compensation, related-party, fundraising, program, and business relationships;
- respond to requests for information and approvals within a reasonable time;
- review all drafts and confirm factual accuracy before filing or publication;
- use your own lawful accounts and credentials unless a Service Agreement expressly authorizes administrative access or representation;
- protect account credentials and promptly revoke access when it is no longer needed;
- pay government fees, third-party fees, processing fees, and other amounts not expressly included in the purchased service;
- comply with all applicable laws and third-party platform rules;
- maintain copies of final filings, approvals, receipts, notices, and organizational records;
- notify us promptly of agency correspondence, rejections, requests for information, suspensions, or material organizational changes.
We may rely on the information and instructions you provide. We are not responsible for delays, rejections, penalties, or other consequences caused by incomplete, inaccurate, late, misleading, or withheld information.
9. Administrative Access and Third-Party Accounts
Certain services may require access to client-controlled accounts, including government filing portals, domain registrars, hosting systems, analytics tools, advertising accounts, nonprofit-benefit platforms, email systems, CRM systems, payment processors, or cloud services.
Access may be provided through delegated permissions, temporary credentials, authorization forms, or other methods approved by the client and the relevant platform.
Unless a Service Agreement states otherwise:
- the client remains the owner and primary controller of its accounts;
- the client is responsible for account security and authorized users;
- we may use access only to perform the requested services;
- we may suspend work when access is unavailable, revoked, insecure, or inconsistent with platform rules;
- we are not responsible for outages, suspensions, data loss, policy changes, or decisions made by third-party platforms.
10. Accounts and Client Access
Some portions of the Site may require an account, access link, password, or other authentication method.
You agree to:
- provide accurate registration information;
- keep credentials confidential;
- use only accounts you are authorized to access;
- promptly notify us of suspected unauthorized access;
- accept responsibility for activity occurring through your account or access credentials.
We may suspend or terminate access to protect the Site, a client, a third party, or our systems, or when we reasonably believe that these Terms or applicable law have been violated.
11. Acceptable Use
You may use the Site only for lawful purposes.
You may not:
- use the Site to violate any law, regulation, court order, agency rule, or third-party right;
- impersonate another person or entity;
- submit false, fraudulent, misleading, defamatory, infringing, or unlawful information;
- attempt to gain unauthorized access to an account, system, database, or network;
- interfere with Site security, availability, or operation;
- introduce malware, malicious code, automated attacks, or harmful material;
- scrape, crawl, harvest, copy, or extract Site content at scale without our written permission, except for ordinary indexing by legitimate search engines;
- use automated systems to create a competing database, training dataset, or commercial content product from our materials;
- remove copyright, trademark, source, verification, or attribution notices;
- misrepresent Site content as legal advice, an official government statement, or your own original research;
- use our services or third-party nonprofit programs to promote unlawful activity, private inurement, fraud, deceptive fundraising, prohibited political campaign activity, or impermissible commercial lead generation;
- use the Site in a manner that burdens or disrupts our systems or other users.
We may investigate suspected misuse and cooperate with lawful government requests.
12. User Submissions and Communications
You retain ownership of information, documents, messages, feedback, and other material you submit to us (“User Content”).
You grant us a limited, nonexclusive license to use, reproduce, modify, store, transmit, and disclose User Content only as reasonably necessary to:
- respond to your request;
- provide, maintain, secure, and improve the Site or purchased services;
- prepare requested documents, websites, campaigns, filings, or technical systems;
- communicate with authorized professionals, contractors, agencies, and platforms;
- comply with law and enforce agreements.
You represent that you have the right to provide the User Content and authorize its use for these purposes.
Do not send confidential information that is unrelated to your request. Do not provide Social Security numbers, full payment-card details, health information, or other highly sensitive information unless we specifically request it through an appropriate secure process.
13. Intellectual Property
The Site and its content, including its design, branding, software, databases, research structure, taxonomies, templates, methodologies, text, graphics, courses, and compilations, are owned by or licensed to IT HUB Service Inc. and are protected by intellectual-property laws.
Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for your own personal, organizational, or internal business purposes.
You may quote a reasonable portion of publicly available educational content when you:
- preserve its meaning;
- identify 501c3.help as the source;
- include a link to the relevant page;
- do not imply endorsement or government affiliation;
- do not reproduce a substantial part of the database or course.
Client-specific ownership rights in paid deliverables are governed by the applicable Service Agreement. Unless that agreement states otherwise, our general templates, systems, methods, reusable code, research structures, and preexisting materials remain our property.
14. Feedback
If you submit an idea, suggestion, correction, or other feedback about the Site, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or compensation.
Submitting a factual correction does not transfer ownership of your unrelated proprietary materials.
15. Third-Party Links, Tools, and Services
The Site may link to government websites, payment processors, messaging services, filing portals, professional resources, social networks, and other third-party services.
We do not control third-party services and are not responsible for their content, availability, accessibility, security, privacy practices, prices, rules, eligibility decisions, data handling, acts, or omissions.
Your use of a third-party service is governed by that provider’s own terms and privacy policy.
16. Payments
Payments may be processed by Stripe or another payment provider. We do not ordinarily receive or store complete payment-card numbers.
Prices, payment schedules, taxes, government fees, third-party charges, refund terms, financing terms, chargeback procedures, and service-completion rules are governed by the applicable checkout page, invoice, and Service Agreement.
You authorize the applicable payment processor to charge the payment method you provide for amounts you approve.
17. Electronic Communications
By contacting us, creating an account, or purchasing services, you consent to receive communications relating to your inquiry, account, transaction, project, compliance matter, or service.
We may communicate by email, the Site, client portals, WhatsApp, or another channel you initiate or authorize.
Marketing communications may be discontinued by using an unsubscribe mechanism or by contacting us. We may continue sending nonmarketing messages necessary for an active account, transaction, legal obligation, or service relationship.
Electronic records and signatures may be used to the extent permitted by law.
Text messages have their own terms, set out in section 18.
18. SMS Messaging Terms
Program. 501c3 Help sends text messages that connect you by phone with one specific nonprofit professional whose page you used. You leave a mobile number and choose no date and no time. When that professional has a free hour, we text you and ask whether the moment suits you as well; if it does, we call both of you and connect the call, and neither side sees the other’s number.
What we send. A confirmation right after you leave your number; a notification when that professional is free to talk, which may be weeks later; a short confirmation of the time we will call; and one message after the conversation asking whether you want your contact shared. No marketing, no promotions, no links.
Message frequency. Message frequency varies and depends on how often that professional is free. There is no schedule and no minimum; many weeks carry no messages at all.
Cost. The service is free. Message and data rates may apply under your plan with your mobile carrier.
Opting out and getting help. Reply STOP at any time and we stop immediately and permanently. Reply HELP at any time for information about the program and how to reach us. You can also write to team@501c3.help.
Carriers. Carriers are not liable for delayed or undelivered messages.
19. Availability and Changes to the Site
We may add, remove, suspend, modify, or discontinue any part of the Site at any time.
We do not guarantee uninterrupted, error-free, secure, or permanent access. Maintenance, outages, cyber incidents, third-party failures, or other events may affect availability.
We may correct errors, update research, change verification labels, revise tools, or remove outdated content without prior notice.
20. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL FREE CONTENT AND TOOLS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
WE DISCLAIM ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, AND RESULTS.
WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE; THAT CONTENT WILL ALWAYS BE CURRENT, COMPLETE, OR SUITABLE FOR YOUR CIRCUMSTANCES; THAT A FILING, APPLICATION, PROGRAM, CAMPAIGN, OR ORGANIZATION WILL BE APPROVED OR SUCCESSFUL; THAT DEFECTS OR ERRORS WILL ALWAYS BE CORRECTED; OR THAT THE SITE OR COMMUNICATIONS WILL BE FREE FROM HARMFUL COMPONENTS.
Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IT HUB SERVICE INC., 501c3.help, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DONATIONS, LOST DATA, LOST OPPORTUNITIES, LOSS OF GOODWILL, GOVERNMENT PENALTIES, THIRD-PARTY SUSPENSIONS, OR BUSINESS INTERRUPTION ARISING FROM OR RELATING TO THE SITE.
FOR CLAIMS ARISING ONLY FROM FREE USE OF THE SITE, OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED $100.
LIABILITY RELATING TO A PAID SERVICE IS GOVERNED BY THE APPLICABLE SERVICE AGREEMENT. IF THAT AGREEMENT DOES NOT PROVIDE A DIFFERENT LIMIT, OUR TOTAL AGGREGATE LIABILITY FOR THE PAID SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THAT SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limitations do not apply where prohibited by law or to liability that cannot lawfully be limited.
22. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless IT HUB Service Inc., 501c3.help, and their officers, directors, employees, contractors, agents, and affiliates from claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys’ fees arising from your unlawful or unauthorized use of the Site, your User Content, your violation of these Terms, your violation of another person’s rights, inaccurate or incomplete information you provide, or your organization’s activities, fundraising, governance, employment, filings, advertising, or use of third-party programs.
This section does not require you to indemnify a protected party for that party’s own fraud, willful misconduct, or liability that cannot lawfully be shifted.
23. Suspension and Termination
You may stop using the Site at any time.
We may restrict, suspend, or terminate access when we reasonably believe that you violated these Terms or a Service Agreement; your use creates legal, security, reputational, or operational risk; payment is overdue; continued access could harm a client, third party, platform, or system; or suspension is required by law or a third-party provider.
Termination of Site access does not cancel payment obligations, intellectual-property rights, confidentiality duties, liability limitations, dispute provisions, or other terms that by their nature survive termination.
24. Copyright Complaints
If you believe material on the Site infringes your copyright, send a notice to team@501c3.help containing your name and contact information; identification of the copyrighted work; identification and location of the allegedly infringing material; a statement of your good-faith belief that the use is unauthorized; a statement, under penalty of perjury, that the information is accurate and that you are authorized to act; and your physical or electronic signature.
We may remove material and contact the person who submitted it.
25. Privacy
Our collection and use of personal information are described in our Privacy Policy, which is incorporated into these Terms by reference.
26. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.
Any dispute arising from or relating to these Terms or the Site must be brought in the state or federal courts located in Sacramento County, California, unless applicable law requires another forum.
You and IT HUB Service Inc. consent to personal jurisdiction and venue in those courts.
27. Changes to These Terms
We may update these Terms from time to time.
The “Last Updated” date shows when the current version became effective. Material changes may be communicated through a notice on the Site, by email, through a client portal, or by another reasonable method.
Your continued use of the Site after the effective date of updated Terms constitutes acceptance of the revised Terms. Changes to an existing paid Service Agreement require the method of amendment stated in that agreement.
28. General Provisions
If any provision of these Terms is held unenforceable, the remaining provisions remain effective, and the unenforceable provision will be enforced to the maximum extent permitted by law.
Our failure to enforce a provision is not a waiver.
You may not assign these Terms without our written consent. We may assign them in connection with a merger, reorganization, asset transfer, corporate restructuring, or sale of the business.
These Terms, together with the Privacy Policy and any applicable Service Agreement, constitute the agreement governing the matters they address.
